1. Acceptance of Terms
By accessing and using the Haloon platform (hereinafter "the Service"), you agree to be bound by these Terms of Use. If you do not accept these terms, please do not use the Service.

3. Service Description
Haloon is a conversational artificial intelligence platform that allows users to interact with different language models (LLMs). The Service includes in particular:
- Chat features with AI models
- Image generation
- Document and image analysis
- AI-assisted web search
3.1 Third-Party AI Model Providers
The Service relies on artificial intelligence models provided by third-party providers, including:
- OpenAI (GPT-4, DALL-E)
- Anthropic (Claude)
- Google (Gemini)
- Mistral AI
- DeepSeek
- And other providers
Haloon acts as an aggregator of these services. Generated responses come from these third-party models, and Haloon does not directly control their internal operation.
3.2 Third-Party Provider Terms
By using the Service, you also agree to be bound by the terms of use of AI model providers, including:

- Google: https://policies.google.com/terms
- Open Router: https://openrouter.ai/terms
You are responsible for complying with these terms. In the event of a conflict between these Terms and those of the providers:
- Provider usage restrictions prevail and supplement ours
- Haloon's limitations of liability cannot be interpreted as providing additional guarantees beyond those of the providers
- Haloon cannot be held liable for a user's violation of third-party provider terms
3.3 Provider and Model Changes
Haloon reserves the right, at any time and without notice: a) To add, modify or remove available AI models b) To substitute one provider for another offering equivalent or comparable features c) To restrict access to certain models depending on subscription plans
These changes do not constitute a substantial modification of the Service and do not give rise to any right to compensation, refund or early termination.
The user acknowledges that the availability of specific models does not constitute an essential feature of the Service.
3.4 License of Use
Subject to compliance with these Terms and payment of applicable fees, Haloon grants you, for the duration of your subscription, a license to use the Service with the following characteristics:
- Non-exclusive: Haloon may grant the same rights to other users
- Non-transferable: you may not assign your access right to a third party
- Non-sublicensable: you may not authorize third parties to use the Service through your account (except in the context of the API, see section 19)
- Limited: to the features included in your plan
- Revocable: in case of violation of these Terms
This license is granted for your own use (personal or professional depending on your capacity). It does not confer any ownership right over the Service, its components, source code or documentation.
Any use not expressly authorized by these Terms is prohibited and may result in the immediate termination of your account as well as legal proceedings.
4. Registration and User Account
4.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You are responsible for the confidentiality of your login credentials.
4.2 Age Requirements
You must be at least 18 years old to use the Service. By creating an account, you certify that you meet the required age. Haloon reserves the right to request proof of age and to suspend any account in case of doubt.
4.3 Account Security and Sharing Prohibition
a) Security obligations
You agree to:
- Maintain the confidentiality of your password and login credentials
- Immediately notify Haloon of any unauthorized use of your account
- Not use another user's account
b) Account sharing prohibition
Your account is strictly personal and individual. It is expressly prohibited to:
- Share your login credentials with third parties
- Allow multiple people to use the same account
- Resell, rent or make your access to the Service available
- Create accounts on behalf of third parties
c) Liability
You are solely responsible for all activities carried out under your account, whether or not you authorized them. Haloon cannot be held liable for the consequences of unauthorized use of your account resulting from your negligence in protecting your credentials.
d) Consequences of sharing
In the event of proven account sharing, Haloon reserves the right to:
- Immediately suspend or terminate your account without notice or refund
- Charge for the loss of revenue corresponding to unauthorized access
- Initiate any appropriate legal action
5. Pricing and Payment
5.1 Offers and Rates
The Service offers different subscription plans whose rates are indicated on our website. Prices are expressed in euros, including all taxes (VAT).
Professional users wishing specific pricing terms (large volumes, customized billing, alternative payment methods) may contact our sales team at contact@haloon.ai to discuss a tailored offer.
5.2 Payment Methods
Payment is made by credit card or any other payment method offered on the site. Payment is due immediately upon subscription.
5.3 Renewal
Unless otherwise indicated, subscriptions are automatically renewed at their expiration. You can disable automatic renewal at any time from your account settings.
5.4 Rate Changes
Haloon reserves the right to modify its rates. Any change will be notified at least 30 days before it takes effect. The user may cancel their subscription free of charge before the new rate takes effect. Failing cancellation, the new rate will be applied.
5.5 Payment Default
a) Immediate suspension In the event of payment failure (declined card, rejected direct debit, unpaid invoice at due date), Haloon reserves the right to immediately suspend access to the Service, including by reducing usage quotas to zero.
This suspension takes effect upon detection of the payment default, without prior formal notice. The user will be informed by email.
b) Reinstatement Access to the Service will be restored as soon as possible following settlement of the payment.
c) Termination for non-payment Failing settlement within fifteen (15) days following notification of non-payment, Haloon may definitively terminate the account without further formality.
d) Amounts owed Suspension does not release the user from paying amounts owed. In the event of late payment by a professional user, late payment penalties at a rate of three times the statutory interest rate shall apply automatically, together with a fixed indemnity of 40 euros for collection costs.
5.6 Credits and Quota Management
Plans may include a volume of credits or requests. These quotas may be defined according to different time windows: annual, monthly, daily, or rolling (for example over a four-hour period continuously renewed in one-hour increments).
The detailed technical terms of quotas are described in the Fair Use Policy, available on the site.
Unless otherwise explicitly stated in the commercial offer:
a) Credits or requests unused at the end of the applicable quota period or window are lost and are not carried over to the next period. b) Credits or requests are non-refundable, non-exchangeable, and non-transferable. c) Upon termination, remaining credits or requests are immediately deleted without compensation. d) Haloon reserves the right to change the type of time window applicable to quotas. Any substantial change will be notified in accordance with section 15.
5.7 No Refund for Partial Periods
a) Principle
In the event of termination of your subscription, regardless of the reason or initiating party (except exercise of the right of withdrawal provided in section 6), no pro rata refund will be made for the current subscription period.
You retain access to the Service until the end of the already-paid billing period.
b) Examples
- If you cancel a monthly subscription on the 15th of the month, you retain access until the end of the month but will not be refunded for the remaining days.
- If you cancel an annual subscription after 3 months, you retain access until the end of the 12 months but will not be refunded for unused months.
c) Exceptions
This rule does not apply:
- To exercise of the right of withdrawal under the conditions of section 6
- In case of termination by Haloon for convenience (not due to user fault), in which case a pro rata refund may be made
- In case of a contrary mandatory legal provision
d) Professional users
Professional users expressly acknowledge this clause and waive any claim for partial refund in the event of early termination.
6. Right of Withdrawal
6.1 Withdrawal Period
In accordance with Article L221-18 of the French Consumer Code, you have a 14-day period from subscription to exercise your right of withdrawal, without having to justify a reason.
6.2 Exercise of the Right of Withdrawal
To exercise this right, you must notify your decision by a clear statement (email to contact@haloon.ai or via your account settings).
6.3 Exception to the Right of Withdrawal
In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium. By subscribing to the Service and starting to use it (e.g., sending the first request), you expressly request immediate performance of the contract before the end of the withdrawal period and expressly waive your right of withdrawal. No refund will be made if you have started using the Service.
6.4 Refund
In the event of exercise of the right of withdrawal, Haloon will refund you the full amount paid, less the amount corresponding to the Service already provided, within 14 days.
7. Acceptable Use
7.1 Prohibited Uses
You agree not to use the Service for illegal purposes or purposes contrary to these Terms.
Without limiting the foregoing, it is prohibited in particular to:
- Generate illegal, defamatory, obscene or offensive content
- Harass, threaten or harm other people
- Violate third-party intellectual property rights
- Distribute viruses, malware or any malicious code
- Attempt to circumvent the Service's security measures
- Use the Service for fraudulent purposes
- Collect personal data from other users
- Generate spam or unsolicited communications
- Generate child sexual abuse material or terrorist content
- Impersonate a person or organization
7.2 AI-Generated Content — Warnings
Responses generated by AI models are provided for purely informational and illustrative purposes. You expressly acknowledge and accept that:
a) No guarantee of accuracy Generated content MAY CONTAIN ERRORS, INACCURACIES, OUTDATED OR FICTITIOUS INFORMATION ("hallucinations"). Haloon DOES NOT VERIFY and DOES NOT GUARANTEE the accuracy, completeness or reliability of responses.
b) No professional advice The Service DOES NOT CONSTITUTE IN ANY WAY:
- Medical advice, diagnosis or treatment
- Legal or tax advice
- Financial or investment advice
- Engineering or safety advice
- Any other regulated professional advice
Always consult a qualified professional for any important decision.
c) User responsibility YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR:
- The formulation of your requests (prompts)
- The evaluation and verification of responses
- The use you make of generated content
- The consequences of decisions based on that content
d) Potentially inappropriate content Despite safety filters, the Service may occasionally generate inappropriate, offensive or harmful content. Haloon disclaims any liability for such content.
7.3 Technical and Commercial Restrictions
a) Intellectual property and code
You agree not to:
- Copy, modify, adapt or create derivative works from the Service
- Reverse engineer, decompile or disassemble the Service
- Attempt to extract the source code, algorithms or structure of the Service
- Systematically extract data from the Service (scraping)
b) Redistribution and commercial exploitation
You agree not to:
- Resell, rent, lend or sublicense access to the Service
- Redistribute or make the Service available to third parties
- Use the Service to create or promote a competing product or service
- Use the Service to train competing AI models
c) Circumvention of limitations
You agree not to:
- Circumvent technical protection measures or usage limitations
- Use unauthorized bots, scrapers or automated means
- Disable or alter any security or access control measure
d) Fair Use
You agree not to make excessive or unreasonable use of the Service that could disrupt system availability for other users or generate disproportionate costs for Haloon.
Haloon reserves the right to define "Fair Use" thresholds and to limit generation speed (throttling) or to suspend an account in case of excess, even on so-called "unlimited" plans.
7.4 Monitoring and Abuse Detection
To ensure the security of the Service and compliance with these terms, Haloon may: a) Automatically monitor usage patterns b) Detect abusive or fraudulent behavior c) Analyze requests to detect violations of the terms of use d) Retain activity logs for security purposes
This monitoring is carried out proportionately and in compliance with the GDPR. It may lead to the suspension or termination of your account.
8. Artificial Intelligence — Transparency
8.1 Nature of the Service
In accordance with the European Artificial Intelligence Regulation (AI Act), we inform you that:
- Responses are generated by artificial intelligence systems
- These systems are developed and operated by third-party providers (see section 3.1)
- Haloon does not directly control these models' algorithms
8.2 AI Limitations and Risks
AI models have inherent limitations:
- Hallucinations: AI can generate false information presented as true
- Bias: Responses may reflect biases present in training data
- Obsolescence: Model knowledge may be outdated
- Variability: Responses are not guaranteed to be identically reproducible
8.3 Human Oversight
You have the right to request human verification for any important decision you intend to make based on AI-generated responses. Contact us at contact@haloon.ai for any such request.
8.4 Responsible Use
You agree to:
- Verify important information against reliable sources
- Not rely exclusively on AI responses for critical decisions
- Report any inappropriate or dangerous AI behavior
8.5 AI Act Classification and Compliance
The Service is classified as a limited-risk AI system within the meaning of Regulation (EU) 2024/1689 (AI Act). As such, Haloon complies with applicable transparency obligations, in particular:
- Clear information on interaction with an AI system
- Disclosure of the artificial nature of generated content
- Documentation of the system's capabilities and limitations
The Service is not designed for high-risk uses within the meaning of Annex III of the Regulation. The user agrees not to use the Service for such purposes.
9. Intellectual Property
9.1 Rights to the Service
All intellectual property rights relating to the Service (source code, interface, trademarks, etc.) belong to Haloon or its licensors.
9.2 User Content
You retain all your rights to the content you submit to the Service (prompts, documents, images). By using the Service, you grant Haloon a limited, non-exclusive and revocable license to process this content solely for the purpose of providing the Service.
You expressly warrant that: a) You hold all necessary rights over the content you submit b) This content does not infringe third-party intellectual property rights c) This content does not contain personal data of third parties without their consent d) Haloon's use of this content does not violate any applicable law
You will indemnify Haloon against any third-party claim relating to the content you submit.
9.3 Generated Content
a) Attribution: Content generated by AI models in response to your requests may be used by you for personal or professional purposes, subject to model provider terms.
b) No rights guarantee: Haloon DOES NOT GUARANTEE that generated content is free of third-party intellectual property rights. It is your responsibility to verify that your use does not infringe third-party rights.
c) Non-exclusivity: Generated content is not exclusive. Identical or similar content may be generated for other users.
d) Provider terms: Rights over generated content are also subject to the terms of model providers (OpenAI, Anthropic, etc.). In case of conflict, the most restrictive terms apply.
e) Liability for use: You are solely responsible for the use of generated content and the consequences of that use, in particular regarding intellectual property, defamation or privacy.
9.4 Usage and Improvement Data
Haloon may collect and process data relating to your use of the Service (frequency of use, features used, performance, errors) in order to:
- Ensure the security and proper operation of the Service
- Improve and optimize the Services
- Perform diagnostics and corrections
- Carry out statistical analyses
Haloon may disclose such data only in aggregated and/or anonymized form, in a manner that does not allow you to be identified.

10. Personal Data Protection

Some of our AI model providers are located outside the European Union (notably in the United States). These transfers are governed by:

11. Service Availability
11.1 Access to the Service
Haloon strives to ensure Service availability 24/7. However, access may be temporarily suspended for maintenance, updates or in case of force majeure.
11.2 Dependence on Third-Party Providers
Service availability also depends on that of AI model providers. Haloon cannot guarantee the continuous availability of all models offered.
11.3 Service Modifications
Haloon reserves the right to modify, suspend or discontinue all or part of the Service at any time. Substantial modifications will be notified to users with reasonable prior notice.
12. Limitation of Liability
12.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
Haloon expressly disclaims, to the fullest extent permitted by law:
- Any warranty of merchantability
- Any warranty of fitness for a particular purpose
- Any warranty of result or performance
- Any warranty of non-infringement of third-party rights
- Any warranty of security or freedom from errors
12.2 Limitation of Damages
Haloon shall in no event be liable for the following damages, even if it has been informed of their possibility:
- Loss of profits, revenue or anticipated savings
- Loss of data or cost of data reconstruction
- Loss of customers or business opportunities
- Reputational harm or damage to reputation
- Indirect, incidental, special or punitive damages
- Business interruption
12.3 Exceptions to Limitation
The limitation of liability set out above does not apply:
- In case of fraud or gross negligence by Haloon
- In case of personal injury
- In case of breach of essential contractual obligations
- To statutory guarantees applicable to consumers
12.4 No Liability for Third-Party Providers
Haloon expressly disclaims any liability regarding:
a) The content, accuracy or quality of responses generated by third-party AI models b) Malfunctions, errors, bugs or unavailability of those models c) Modifications, degradations or removal of features by those providers d) Policy, pricing or terms changes by those providers e) Decisions by those providers to suspend or restrict access to their models f) Any damage resulting from the use of third-party models
In the event of a dispute relating to a third-party model, the user must act directly against the relevant provider. Haloon cannot be called upon as a guarantor.
12.5 Limitation Period
For professional users: Any action related to the Service or these terms must be brought within one (1) year from the occurrence of the triggering event.
For consumer users: Statutory limitation periods apply.
12.6 Status as Technical Intermediary
Haloon acts as a technical intermediary between users and AI model providers. As such:
- Haloon is not the author of generated content
- Haloon does not control third-party provider algorithms
- Haloon cannot be assimilated to a content publisher within the meaning of applicable law
This intermediary status limits Haloon's liability regarding content generated by third-party models.
The user acknowledges that content is generated automatically by third-party models and that Haloon does not have the technical capacity to verify the accuracy or lawfulness of each response.
12.7 Liability Cap
In all cases where Haloon's liability is established, it shall be limited:
a) For consumer users: to the amount actually paid by the user during the 12 months preceding the triggering event, without prejudice to mandatory rights recognized by consumer law.
b) For professional users: to the amount referred to in section 20.3.
This limitation does not apply to the cases referred to in section 12.3. Multiple claims shall not increase these caps.
13. Indemnification
You agree to defend, indemnify and hold harmless Haloon, its officers, employees, agents and partners from and against any claim, demand, action, damage, loss, cost and expense (including reasonable attorney's fees) arising out of or related to:
a) Your use of the Service b) Your prompts, submitted content or transmitted data c) Content you generate, publish, distribute or use via the Service d) Your violation of these Terms or third-party provider terms e) Your violation of any applicable law or regulation f) Your violation of third-party rights (intellectual property, privacy, etc.) g) Any third-party claim related to your use of generated outputs
This indemnification obligation survives termination of your account.
14. Termination
14.1 By the User
You may terminate your account at any time from your account settings or by contacting support at contact@haloon.ai. Termination takes effect immediately. No refund is owed for the current subscription period, except exercise of the right of withdrawal (see section 5.7).
14.2 By Haloon
Haloon may suspend or terminate your access to the Service in case of violation of these terms, with 30 days' notice except in case of serious or repeated violation.
14.3 Effects of Termination
Upon termination:
- Your access to the Service is deactivated
- Your data is retained in accordance with section 10.7
- You may request export of your data before termination
14.4 Survival of Clauses
The following sections survive termination of the contract: License of Use (3.4), Intellectual Property (9), Data Protection (10), Limitation of Liability (12), Indemnification (13), and Dispute Resolution (16).
In general, any clause that by its nature or purpose is intended to survive termination or expiration of the contract shall continue to have effect, including in particular clauses relating to payment obligations for amounts owed, confidentiality, warranties given by the user, and limitations of liability.
15. Modifications to the Terms
Haloon reserves the right to modify these terms at any time. Substantial changes will be notified by email at least 30 days before they take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the modified terms. If you do not accept the new terms, you may terminate your account.
16. Dispute Resolution
16.1 Governing Law
These terms are governed by French law. The French version shall prevail.
16.2 Mediation
In accordance with applicable consumer law, in the event of a dispute, you may have free recourse to a consumer mediator.
You may also use the European online dispute resolution platform: https://ec.europa.eu/consumers/odr
16.3 Jurisdiction
Failing amicable resolution, any dispute shall be subject to the exclusive jurisdiction of the French courts. Consumers may also bring proceedings before the courts of their place of residence.
17. General Provisions
17.1 Entire Agreement
These terms constitute the entire agreement between you and Haloon regarding use of the Service.
17.2 Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in force. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
17.3 Waiver
Haloon's failure to exercise a right provided under these terms does not constitute a waiver of that right.
17.4 Assignment
Haloon may assign these terms to a third party in the context of a merger, acquisition or sale of assets. You may not assign your rights without Haloon's written consent.
17.5 Force Majeure
Haloon shall not be liable for any delay or failure resulting from a force majeure event within the meaning of applicable law.
17.6 Notices
Any notice under these terms shall be validly given:
- To Haloon: at the email address associated with your account
- To the user: by email to contact@haloon.ai or by registered mail to the registered office address
Email notices are deemed received on the date of sending, subject to proof to the contrary.
You agree to maintain a valid email address and to check your messages regularly.

19. API-Specific Terms
19.1 API Access
Access to the Haloon API requires a personal and confidential API key. You are solely responsible for the security of your API key and any use made with it.
19.2 Technical Limitations
- Request limits (rate limiting) according to your plan
- Haloon reserves the right to limit or suspend access in case of abnormal or abusive use
19.3 Authorized Use
The API is intended to be integrated into your applications. It is prohibited to:
- Resell API access as a standalone service
- Use the API to create a direct competing service
- Circumvent technical limitations
19.4 Availability and SLA
The API is provided without availability guarantee. No SLA is guaranteed unless specifically agreed in writing.
19.5 API-Specific Liability
Use of the API in your applications is entirely your responsibility. You are solely responsible for: a) The security of the integration in your environment b) Error handling and edge cases c) Informing your own users about the AI nature of content d) Your application's compliance with applicable laws
19.6 API Key — Security, Confidentiality and Sharing Prohibition
a) Personal and confidential nature
Your API key is strictly personal and confidential. It is associated with your account and may only be used by you or, where applicable, within your organization in the context of your applications.
b) Sharing prohibition
It is expressly prohibited to:
- Share your API key with third parties outside your organization
- Publish your API key (in public source code, forums, etc.)
- Resell, rent or make your API key available
- Allow third parties to use your API key to access the Service
- Embed your API key in applications allowing third parties to use the Service without their own Haloon subscription
c) Liability
Any use made with your API key is deemed to have been made by you. You are responsible for all activity carried out via your API key, whether or not you authorized it.
d) In case of compromise
In case of suspected or confirmed compromise of your API key:
- You must revoke it immediately from your account
- You remain responsible for any use prior to revocation
- Haloon cannot be held liable for the consequences of a compromise
e) Consequences of sharing
In case of unauthorized API key sharing, Haloon reserves the right to:
- Immediately revoke the key concerned
- Suspend or terminate your account without notice or refund
- Charge for fraudulent use made via the shared key
- Initiate any appropriate legal action
19.7 API Modifications
Haloon reserves the right to modify the API (endpoints, formats, features) with 15 days' notice for non-backward-compatible changes. Bug fixes and minor improvements may be deployed without notice.
20. Professional Users
20.1 Definition
A professional user is any natural or legal person acting for purposes falling within the scope of their commercial, industrial, craft, liberal or agricultural activity.
20.2 Inapplicability of Certain Provisions
Professional users acknowledge that the following provisions do not apply to them:
- The right of withdrawal (section 6)
- Consumer mediation (section 16.2)
- Statutory guarantees specific to consumers
20.3 Liability Between Professionals
For professional users, to the fullest extent permitted by law:
a) Liability cap Haloon's total and cumulative liability, for all causes combined, is limited to the higher of:
- Amounts actually paid by the professional user during the twelve (12) months preceding the triggering event, AND
- One hundred (100) euros
b) Qualitative limitation Haloon's liability is strictly limited to direct and foreseeable damages. All indirect damages are expressly excluded, including without limitation: loss of profit, loss of revenue, loss of data, loss of customers, reputational harm, commercial loss.
c) Claims deadline Any claim must be notified in writing within thirty (30) days of discovery of the triggering event, failing which it shall be time-barred.
20.4 Waiver of Class Actions
To the fullest extent permitted by applicable law, professional users waive the right to participate in any class action or collective action against Haloon. Any claim must be brought on an individual basis.
21. Beta Features and Free Trials
21.1 Definition
"Beta features" means any feature, model or service identified as "beta", "preview", "experimental", "labs" or any similar designation. "Free trials" means any period of access to the Service granted without financial consideration.
21.2 No Warranty
Beta features and free trials are provided "as is", without any warranty. They may contain bugs, be unstable, and processed data may be lost. No service level (SLA) or availability commitment applies.
21.3 Modification and Interruption
Haloon may at any time and without notice:
- Modify, limit or remove any beta feature or free trial
- Convert a beta feature into a paid feature
- Reset associated data or configurations
These changes do not give rise to any compensation or refund.
21.4 Feedback
Any feedback you provide on beta features may be freely used by Haloon to improve its services, without any obligation of compensation.
